Terms of Service

These Terms of Service ("Terms") are a legal agreement between you and UVCODEX LLC ("UVCODEX", "we", "us", "our"). By downloading, installing, or using the Deisy iOS application ("the App"), you agree to be bound by these Terms. If you do not agree, do not use the App.
1. Description of the App
Deisy is an iOS application that enables you to download and run open-weight AI language models entirely on your device. The App does not provide AI inference services itself — it provides an interface for running third-party models that you download separately from HuggingFace.
2. License to Use
We grant you a limited, non-exclusive, non-transferable, revocable license to install and use the App on Apple-branded devices you own or control, for personal or professional purposes, in accordance with these Terms and Apple's App Store Terms of Service.
You may not:
- Sublicense, sell, resell, or redistribute the App
- Reverse-engineer, decompile, or disassemble the App except as permitted by applicable law
- Use the App in any manner that violates applicable law or these Terms
3. Third-Party AI Models
The App enables you to download AI models created and licensed by third parties. Your use of any downloaded model is governed solely by that model's license. By downloading a model you represent that you have read and agree to its license terms.

We are not a party to any model license and are not responsible for model outputs, accuracy, or fitness for any purpose.
4. Acceptable Use
You agree not to use the App to:
- Generate content that is illegal, harmful, threatening, defamatory, obscene, or abusive
- Violate any applicable local, state, national, or international law or regulation
- Infringe the intellectual property, privacy, or other rights of any person
- Circumvent, disable, or otherwise interfere with security features of the App
- Violate the acceptable use policies of any third-party model license
5. Intellectual Property
The App, excluding third-party model weights and open-source components, is proprietary software owned by UVCODEX LLC. All rights not expressly granted are reserved. Nothing in these Terms transfers ownership of any intellectual property to you.
Open-source components used in the App are governed by their respective licenses, which are listed in the App under Legal → Open Source.
6. Disclaimer of Warranties
THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
AI MODEL OUTPUTS ARE GENERATED BY THIRD-PARTY MODELS RUNNING LOCALLY ON YOUR DEVICE. UVCODEX MAKES NO WARRANTY REGARDING THE ACCURACY, COMPLETENESS, RELIABILITY, OR APPROPRIATENESS OF ANY MODEL OUTPUT. YOU ARE SOLELY RESPONSIBLE FOR HOW YOU USE MODEL OUTPUTS.
7. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, UVCODEX LLC AND ITS OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF DATA, LOSS OF PROFITS, OR BUSINESS INTERRUPTION, ARISING FROM OR RELATED TO YOUR USE OF THE APP OR ANY MODEL OUTPUT, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
8. Indemnification
You agree to indemnify, defend, and hold harmless UVCODEX LLC and its officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from your use of the App, your violation of these Terms, or your violation of any third-party model license or applicable law.
9. Termination
We reserve the right to discontinue the App or any feature thereof at any time. Your rights under these Terms terminate automatically if you breach any provision. Upon termination, you must cease all use of the App. Sections 5–10 survive termination.
10. Apple as a Third Party
These Terms are between you and UVCODEX LLC only, not with Apple Inc. Apple is not responsible for the App or its content. However, Apple and its subsidiaries are third-party beneficiaries of these Terms, and upon your acceptance, Apple will have the right to enforce these Terms against you as a third-party beneficiary.
In the event of any conflict between these Terms and Apple's App Store Terms of Service, Apple's terms govern solely with respect to your use of the App Store.
11. Governing Law
These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes shall be resolved exclusively in the state or federal courts located in Delaware.
12. Severability and Entire Agreement
If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect. These Terms, together with our Privacy Policy, constitute the entire agreement between you and UVCODEX LLC regarding the App and supersede all prior agreements.
13. Changes to These Terms
We may update these Terms at any time. We will update the "Last Updated" date and, for material changes, notify you through an App Store update notice. Continued use of the App after changes constitutes acceptance of the updated Terms.
