PrismaDex – Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User") and UVCODEX LLC ("Company," "we," "us," or "our"). These Terms govern your access to and use of the mobile application ("Application"). By downloading, installing, or using the Application, you acknowledge that you have read, understood, and agree to be bound by these Terms.

If you do not agree to these Terms, you must not use the Application.

1. Eligibility

You must be at least 13 years of age to use the Application. By using the Application, you represent and warrant that you meet this age requirement. If you are under the age of 18, you must have the consent of a parent or legal guardian to use the Application.

2. Description of Service

The Application is a trading card grading and collection management tool. The Application allows you to:

  • Photograph trading cards using your device's camera.
  • Receive AI-powered condition grades and quality assessments for your cards.
  • Organize and manage a digital card collection.

Grading results are generated by artificial intelligence and are provided for informational and entertainment purposes only. They do not constitute professional appraisals, certifications, or guarantees of card value.

3. Session and Usage

3.1 Anonymous Sessions

The Application does not require you to create an account or provide any personal information such as an email address or password. When you launch the Application, an anonymous session identifier is automatically generated and associated with your device. All features and grading limits are tied to this anonymous session.

3.2 Session Responsibility

You are responsible for all activity that occurs within your session on your device. We are not liable for any loss or damage arising from unauthorized access to your device.

4. Subscriptions and Payments

4.1 Subscription Plans

The Application offers subscription plans that provide access to premium features and increased grading limits. Subscription details, pricing, and available plans are displayed within the Application.

4.2 Billing

Subscriptions are billed through the Apple App Store or Google Play Store ("Platform"). All payments are processed by the applicable Platform in accordance with its terms and conditions. We do not directly process or store your payment information.

4.3 Free and Demo Usage

The Application provides a limited number of free grading uses. Once free limits are exhausted, a subscription is required to continue grading cards.

4.4 Renewal and Cancellation

Subscriptions automatically renew at the end of each billing period unless cancelled prior to the renewal date. You may cancel your subscription at any time through your Platform account settings. Cancellation takes effect at the end of the current billing period, and no refunds are provided for partial periods.

4.5 Refunds

Refund requests are subject to the policies of the applicable Platform (Apple App Store or Google Play Store). We do not issue refunds directly.

5. Acceptable Use

You agree not to:

  • Use the Application for any unlawful purpose or in violation of any applicable laws or regulations.
  • Attempt to reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Application.
  • Interfere with or disrupt the Application, its servers, or connected networks.
  • Circumvent, disable, or otherwise interfere with any security or access control features of the Application.
  • Use the Application to transmit any malicious code, viruses, or harmful content.
  • Attempt to gain unauthorized access to any portion of the Application or any systems or networks connected to the Application.
  • Use automated means (bots, scrapers, or similar tools) to access or interact with the Application.
  • Exploit the AI grading service in a manner that exceeds your subscription limits or abuses rate limits.

6. Intellectual Property

6.1 Ownership

The Application, including its design, code, features, AI models, grading algorithms, and all associated intellectual property, is owned by UVCODEX LLC. All rights not expressly granted in these Terms are reserved.

6.2 User Content

You retain ownership of the card images and metadata you submit to the Application. By using the Application, you grant us a limited, non-exclusive license to process, store, and transmit your content solely for the purpose of providing the Application's services to you.

6.3 Trademarks

"PrismaDex," "UVCODEX," and associated logos are trademarks of UVCODEX LLC. You may not use these trademarks without our prior written consent.

7. AI Grading Disclaimer

The Application uses artificial intelligence to analyze card images and generate condition grades. You acknowledge and agree that:

  • AI-generated grades are algorithmic estimates and may not reflect the assessment of a professional grading service.
  • Grades may vary based on image quality, lighting, card condition, and other factors.
  • AI grading results should not be relied upon as the sole basis for purchasing, selling, or insuring trading cards.
  • We make no representations or warranties regarding the accuracy, completeness, or reliability of AI-generated grades.
  • Grading results do not constitute professional certification and carry no guaranteed monetary value.

8. Third-Party Services

The Application relies on third-party services to provide its functionality, including but not limited to Supabase, OpenAI, and RevenueCat. Your use of the Application is also subject to the terms and privacy policies of these third-party providers. We are not responsible for the availability, accuracy, or conduct of any third-party service.

9. Privacy

Your use of the Application is subject to our Privacy Policy, which describes how we collect, use, store, and share your information. The Privacy Policy is incorporated into these Terms by reference. By using the Application, you consent to the practices described in the Privacy Policy.

10. Disclaimer of Warranties

THE APPLICATION IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE APPLICATION WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

11. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL UVCODEX LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE APPLICATION, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE APPLICATION SHALL NOT EXCEED THE AMOUNT YOU HAVE PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR FIFTY DOLLARS ($50.00), WHICHEVER IS GREATER.

12. Indemnification

You agree to indemnify, defend, and hold harmless UVCODEX LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in connection with your use of the Application, your violation of these Terms, or your violation of any rights of a third party.

13. Termination

13.1 By You

You may stop using the Application at any time. You may request deletion of your session data by contacting us at the address in Section 16.

13.2 By Us

We reserve the right to suspend or terminate your access to the Application at any time, with or without cause, and with or without notice. Reasons for termination may include, but are not limited to, violation of these Terms or conduct that we determine to be harmful to the Application or other users.

13.3 Effect of Termination

Upon termination, your right to use the Application ceases immediately. Sections 6, 7, 10, 11, 12, and 15 shall survive termination.

14. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the "Last Updated" date at the top of this document. Continued use of the Application after changes constitutes your acceptance of the updated Terms. If you do not agree to the revised Terms, you must stop using the Application.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to conflict of law principles. Any disputes arising under or in connection with these Terms shall be resolved in the courts of competent jurisdiction.
